  • Ensure board of directors has the proper advice and resources to fulfill their duties ;
  • Ensure the board is operating effectively and legally ;
  • Implement the decisions of the board of directors ;
  • Maintain important corporate documents and records ;
  • Oversee stockholder relations ;
  • Attend the meetings.
